1. INTRODUCTION AND ACCEPTANCE
Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between Data State Ltd. ("Company," "we," "us," or "our"), a company registered under the Companies Act 1994 in Bangladesh, and you ("User," "you," or "your") governing your access to and use of the lenden.space website and mobile application (collectively, the "Platform").
Acceptance
By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations of Bangladesh. If you do not agree to these Terms, you must immediately cease using the Platform.
Amendments
We reserve the right to modify these Terms at any time in accordance with changes in Bangladesh law or our business operations. We will notify you of material changes through email, SMS, or prominent notice on the Platform. Your continued use of the Platform after such modifications constitutes acceptance of the revised Terms.
2. DEFINITIONS
For the purposes of these Terms:
- "Campaign" means a fundraising initiative created by a Campaign Organizer on the Platform;
- "Campaign Organizer" means a User who creates and manages a fundraising campaign;
- "Donor" means a User who contributes funds to a Campaign;
- "Funds" means money contributed by Donors through the Platform;
- "Platform Fee" means the service charge levied by the Company for use of the Platform;
- "Transaction" means any financial transfer processed through the Platform;
- "MFS" means Mobile Financial Services including bKash, Nagad, Rocket, and similar services licensed in Bangladesh; and
- "USER" means any individual or any organization having an account in the Platform and using services of the Platform.
3. ELIGIBILITY AND REGISTRATION
Age Requirement
You must be at least 18 years of age to use the Platform. Persons under 18 years are considered minors under Bangladesh law and may not create accounts or conduct transactions. Campaigns benefiting minors must be created and managed by parents, legal guardians, or authorized adults.
Legal Capacity
By using the Platform, you represent and warrant that you have the legal capacity to enter into binding contracts under the Contract Act 1872 and other applicable laws of Bangladesh.
Registration Requirements
To access certain features of the Platform, you must register an account by providing:
- Full legal name as per National Identity Card (NID) or passport
- Valid email address
- Mobile phone number registered in Bangladesh
- NID number or other government-issued identification
- Bank account or MFS account details for financial transactions
- Such other information as may be required for KYC compliance
Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account. You must immediately notify us of any unauthorized access or security breach. We shall not be liable for any loss arising from unauthorized use of your account.
Verification
We reserve the right to verify your identity and information in compliance with Bangladesh Bank regulations, the Money Laundering Prevention Act 2012, and the Anti-Terrorism Act 2009. Failure to provide required verification may result in suspension or termination of your account.
4. PLATFORM SERVICES
Nature of Services
The Platform provides an online marketplace connecting Campaign Organizers with Donors for fundraising purposes. We act as an intermediary and technology service provider, not as a financial institution, charity, or trustee.
Compliance with DBID instructions
In compliance with DBID guidelines, we clarify that our platform operates solely as a crowdfunding service provider. Contributions made through this platform are voluntary and intended to support fundraising campaigns; therefore, no physical goods or products are sold, delivered, or exchanged. All contributions are final and non-refundable, and there is no provision for after-sales service or warranty obligations. This policy is fully aligned with DBID regulations and applicable laws governing crowdfunding activities in Bangladesh. By using this platform, you acknowledge and agree to these terms. Our support team is here to assist with any questions or concerns and will address feedback to the best of our ability within the scope of our Terms and Conditions.
Campaign Categories
The Platform supports fundraising for legitimate purposes including but not limited to:
- Medical expenses and healthcare
- Education and training
- Emergency relief and disaster assistance
- Community development projects
- Creative and entrepreneurial ventures
- Social causes and charitable activities
Prohibited Campaigns
Campaigns are strictly prohibited for:
- Illegal activities under Bangladesh law
- Terrorism, extremism, or activities threatening national security
- Money laundering or financing of terrorism
- Fraudulent or deceptive purposes
- Gambling, lottery, or games of chance
- Weapons, explosives, or controlled substances
- Pornography or obscene content
- Hate speech or discrimination based on religion, race, ethnicity, gender, or other protected characteristics
- Political campaigns or lobbying activities without proper authorization
- Pyramid schemes or multi-level marketing
- Activities violating intellectual property rights
- Any purpose prohibited under the Cyber Security Act 2023, Information and Communication Technology Act 2006, or other applicable laws
5. CAMPAIGN ORGANIZER OBLIGATIONS
Truthfulness and Accuracy
Campaign Organizers must provide truthful, accurate, and complete information about their campaigns. Misrepresentation, fraud, or deception is strictly prohibited and may result in legal action under the relevant law and regulations of Bangladesh including the Penal Code 1860 and the Cyber Security Act 2023.
Documentation
Campaign Organizers must maintain and provide upon request:
- Supporting documentation for campaign claims (medical reports, educational certificates, etc.)
- Receipts and records of fund utilization
- Progress updates and financial accountability reports
- Tax-related documentation as required under the Income Tax Ordinance 2023
Fund Utilization
Campaign Organizers must use raised funds solely for the stated campaign purpose. Misappropriation of funds constitutes breach of trust and may result in civil and criminal liability under Bangladesh law.
Communication
Campaign Organizers must respond promptly to Donor inquiries, provide regular updates on campaign progress, and maintain transparency regarding fund utilization.
Compliance
Campaign Organizers must comply with all applicable laws including tax obligations, regulatory requirements, and reporting obligations to relevant authorities.
6. DONOR RIGHTS AND OBLIGATIONS
Voluntary Donations
All donations are voluntary contributions. Donors acknowledge that donations are not purchases of goods or services and may not be refundable except as provided in these Terms.
Due Diligence
Donors are encouraged to conduct their own due diligence before contributing to campaigns. We do not guarantee the accuracy of campaign information or the proper utilization of funds by Campaign Organizers.
Tax Implications
Donors are responsible for understanding and complying with tax implications of their donations under the Income Tax Ordinance 2023. We do not provide tax advice.
Anonymous Donations
Donors may choose to donate anonymously, in which case their names will not be publicly displayed on campaign pages.
7. FINANCIAL TERMS
Platform Fees
The Company charges a Platform Fee for services provided, calculated as a percentage of funds raised or as a fixed amount as disclosed on the Platform. Platform Fees are deducted from campaign proceeds before disbursement to Campaign Organizers.
Payment Processing Fees
Third-party payment processors, banks, and MFS providers may charge additional transaction fees. These fees are separate from Platform Fees and are disclosed during the payment process.
Payment Methods
The Platform accepts payments through:
- Mobile Financial Services (bKash, Nagad, Rocket)
- Credit and debit cards
- Bank transfers
- Other payment methods licensed to operate in Bangladesh
Currency
All transactions are conducted in Bangladesh Taka (BDT) unless otherwise specified.
Refunds
Refunds may be issued in the following circumstances:
- Campaign is found to be fraudulent or in violation of these Terms
- Campaign Organizer fails to utilize funds for stated purposes
- Technical errors result in duplicate or incorrect charges
- As required by law or regulatory directive
Refund requests must be submitted within 30 days of the donation. Refunds are processed at our discretion and subject to investigation. Platform Fees and payment processing fees may not be refundable.
Taxes
All fees and charges are exclusive of applicable taxes including VAT as per the VAT and Supplementary Duty Act 2012. Users are responsible for all tax obligations arising from their use of the Platform.
Disbursement of Funds
8.1 Receipt of Donor Contributions.
All funds contributed by donors ("Contributions") shall be deemed received by the Company only upon (i) successful processing of the donor's payment by the designated payment processor, and (ii) actual settlement and crediting of such funds into the Company's nominated bank account. The Company shall bear no responsibility for delays, reversals, chargebacks, or failures in payment processing caused by third-party processors or financial institutions.
8.2 Eligibility for Disbursement.
Subject to full compliance with these Terms and any applicable verification requirements, the Campaign Owner shall become eligible to receive disbursement of Contributions only after the Company has received cleared funds as described in Section 1 above.
8.3 Disbursement Procedure.
Following confirmation of receipt of cleared funds, the Company shall initiate transfer of the applicable net Contributions to the Campaign Owner's designated payout account. Disbursement shall occur within a commercially reasonable time frame, provided that the Company may withhold, delay, or suspend any disbursement if:
- (a) additional information or verification is required;
- (b) there is suspicion of fraud, misuse, or violation of these Terms;
- (c) a dispute, chargeback, or legal claim relating to the Contributions has arisen; or
- (d) such withholding is required by law, regulation, or order of a competent authority.
8.4 Net Amounts and Deductions.
Disbursements shall be made net of all applicable platform fees, payment-processing fees, chargebacks, refunds, currency conversion costs, or any other deductions expressly permitted under these Terms. The Campaign Owner acknowledges and agrees that the Company is not obligated to disburse any amounts that have not been actually received and settled in the Company's account.
8.5 Finality of Disbursement.
Once disbursed, the Campaign Owner assumes full responsibility for the use, management, and disposition of funds. The Company shall not be liable for any third-party actions, delays, or failures following successful transmission of the disbursement to the Campaign Owner's account.
8. COMPLIANCE WITH BANGLADESH LAWS
Regulatory Compliance
We operate in full compliance with:
- Companies Act 1994
- Contract Act 1872
- Penal Code 1860
- Money Laundering Prevention Act 2012
- Anti-Terrorism Act 2009
- Cyber Security Act 2023
- Information and Communication Technology Act 2006 (as amended)
- Income Tax Act 2023
- VAT and Supplementary Duty Act 2012
- Bangladesh Bank regulations and directives
- BTRC regulations
- All other applicable laws and regulations of Bangladesh
KYC and AML Compliance
We implement Know Your Customer (KYC) and Anti-Money Laundering (AML) procedures as required by Bangladesh Bank and the Money Laundering Prevention Act 2012. Users must provide required identification and verification documents. We report suspicious transactions to the Bangladesh Financial Intelligence Unit (BFIU).
Data Protection
We collect, process, and store personal data in accordance with our Privacy Policy and applicable Bangladesh laws including the Cyber Security Act 2023.
Cooperation with Authorities
We cooperate fully with law enforcement agencies, regulatory authorities, and courts in Bangladesh. We will disclose user information in response to lawful requests from Bangladesh Police, BFIU, Bangladesh Bank, BTRC, courts, and other competent authorities.
9. INTELLECTUAL PROPERTY RIGHTS
Platform Ownership
All intellectual property rights in the Platform, including software, design, content, trademarks, and logos, are owned by or licensed to the Company. These rights are protected under the Copyright Act 2000 and other applicable laws of Bangladesh.
User Content License
By posting content on the Platform (campaign descriptions, images, videos, comments), you grant us a non-exclusive, worldwide, royalty-free, transferable license to use, reproduce, distribute, display, and modify such content for the purpose of operating and promoting the Platform.
User Representations
You represent and warrant that:
- You own or have necessary rights to all content you post
- Your content does not infringe intellectual property rights of third parties
- Your content complies with these Terms and applicable laws
Copyright Infringement
We respect intellectual property rights and will remove infringing content upon receiving proper notice. Copyright holders may report infringement through our designated contact channels.
10. PROHIBITED CONDUCT
Users must not:
- Violate any laws or regulations of Bangladesh
- Engage in fraudulent, deceptive, or misleading conduct
- Create fake or duplicate accounts
- Impersonate any person or entity
- Harass, threaten, or abuse other users
- Post offensive, defamatory, or obscene content
- Transmit viruses, malware, or harmful code
- Attempt to gain unauthorized access to the Platform or user accounts
- Interfere with the operation of the Platform
- Use automated systems (bots, scrapers) without authorization
- Collect user information without consent
- Engage in money laundering or terrorist financing
- Manipulate or artificially inflate campaign donations
- Use the Platform for commercial purposes without authorization
- Violate the Cyber Security Act 2023 or other cybercrime laws
11. CONTENT MODERATION AND REMOVAL
Monitoring
We reserve the right, but have no obligation, to monitor, review, and moderate content posted on the Platform.
Removal Rights
We may remove, suspend, or modify any content or campaign that:
- Violates these Terms
- Violates applicable laws
- Is reported by users as inappropriate
- Poses security or legal risks
- Is deemed harmful to our reputation or operations
No Liability
We are not responsible for user-generated content and do not endorse any campaigns, opinions, or statements posted by users.
12. ACCOUNT SUSPENSION AND TERMINATION
Termination by Company
We may suspend or terminate your account immediately without notice if:
- You violate these Terms
- You engage in fraudulent or illegal activity
- You fail to comply with verification requirements
- Required by law or regulatory directive
- We cease operations
Termination by User
You may terminate your account at any time by contacting us. Termination does not relieve you of obligations incurred prior to termination.
Effect of Termination
Upon termination:
- Your access to the Platform will be revoked
- Active campaigns may be suspended
- Pending funds will be handled according to our policies and legal requirements
- Certain information will be retained as required by law
13. DISCLAIMERS AND LIMITATIONS OF LIABILITY
Platform Availability
The Platform is provided "as is" and "as available." We do not guarantee uninterrupted, secure, or error-free operation. We may suspend or modify the Platform for maintenance, updates, or other reasons.
No Guarantee of Campaigns
We do not guarantee:
- The accuracy or truthfulness of campaign information
- That Campaign Organizers will use funds as stated
- That campaigns will achieve fundraising goals
- The quality, safety, or legality of campaigns
Third-Party Services
We are not responsible for the acts, omissions, or policies of third-party service providers including payment processors, MFS providers, banks, or linked websites.
Limitation of Liability
To the maximum extent permitted by Bangladesh law:
- We shall not be liable for indirect, incidental, consequential, or punitive damages
- Our total liability shall not exceed the Platform Fees paid by you in the 12 months preceding the claim
- We are not liable for losses arising from unauthorized account access, user conduct, technical failures, or force majeure events
User Responsibility
You acknowledge that:
- Donations are made at your own risk
- You are responsible for verifying campaign legitimacy
- We are not a party to disputes between Campaign Organizers and Donors
- You should conduct independent due diligence
14. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Data State Ltd., its directors, officers, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any laws or third-party rights
- Content you post on the Platform
- Your fundraising campaigns or donations
- Any misleading or fraudulent Campaign or fraudulent activity of any user of the Platform
15. DISPUTE RESOLUTION
Governing Law
These Terms are governed by and construed in accordance with the laws of Bangladesh.
Jurisdiction
Any disputes arising from these Terms or use of the Platform shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.
Arbitration
Before initiating legal proceedings, parties agree to attempt resolution through good faith negotiations. If negotiations fail, disputes may be referred to arbitration under the Arbitration Act 2001 of Bangladesh, if both parties agree.
User Disputes
Disputes between users (Campaign Organizers and Donors) should be resolved directly between the parties. We may provide information to assist resolution but are not obligated to mediate or resolve user disputes.
16. FORCE MAJEURE
We shall not be liable for failure to perform obligations due to circumstances beyond our reasonable control including natural disasters, war, terrorism, civil unrest, government actions, strikes, epidemics, internet or telecommunications failures, or other force majeure events.
17. SEVERABILITY
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
18. WAIVER
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it in the future.
19. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Data State Ltd. regarding use of the Platform and supersede all prior agreements and understandings.
20. ASSIGNMENT
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to any successor entity in connection with a merger, acquisition, or sale of assets.
21. NOTICES
Notice to Users
We may provide notices to you through:

- Posting on the Platform
- In-app notifications

22. LANGUAGE
These Terms are provided in English. In case of any conflict between the English version and any translation, the English version shall prevail. Bengali translations may be provided upon request.
23. SURVIVAL
Provisions relating to intellectual property, indemnification, limitation of liability, dispute resolution, and any other provisions that by their nature should survive termination shall continue in effect after termination of these Terms.
24. ACKNOWLEDGEMENT
By using the Platform, you acknowledge that:
- You have read and understood these Terms
- You agree to be bound by these Terms
- You have the legal capacity to enter into this agreement
- All information provided by you is accurate and complete
- You will comply with all applicable laws of Bangladesh
